NOTICE OF CHANGE GUIDE
Every business registered in Quebec must keep its information current in the enterprise register kept by the Registraire des entreprises du Québec. When your directors, officers, principal shareholders, or addresses change, you report it by filing an updating declaration, often called a notice of change.
A change first needs internal approval: shareholders elect directors, and the board appoints officers and approves a new address. The resolution goes in your minute book and your registers are updated. Only then is the change declared to the registry, so both records match.
A federal corporation reports director and address changes to Corporations Canada, and must also update its Quebec registration if it operates here. Changes to who controls the corporation may also affect its register of individuals with significant control.

Outdated information can mean missed legal notices, penalties, and trouble at the bank, where the public record is checked against your signing officers. A former director who still appears on the register may also remain exposed until the change is declared. The Quebec government explains business obligations on Québec.ca.
We handle related filings too, including annual returns, articles of amendment, and corporate searches, so your corporation's record stays accurate all year.

What is a notice of change in Quebec?
It is the filing that reports a change in your business's registered information. In Quebec it is made through an updating declaration filed with the Registraire des entreprises.
Which changes must be reported to the registry?
You must report changes to directors, officers, principal shareholders, head office and mailing addresses, activities, and the business's name. Any change to information shown on the register should be declared.
Who is responsible for filing a notice of change?
The corporation is responsible, acting through its directors and officers. They can authorize a service provider to prepare and file the declaration on the corporation's behalf.
How do I add or remove a director?
Directors are elected or removed by the shareholders, or resign in writing, and the change is then recorded in the directors' register and declared to the registry. Our director change service prepares each step.
Do shareholder changes have to be declared?
Yes, when the change affects the principal shareholders or ultimate beneficiaries shown on the Quebec register. Every transfer should also be recorded in your securities register, which our shareholder change service handles.
What is the difference between a director and an officer?
Directors are elected by shareholders to oversee the corporation, while officers such as the president and secretary are appointed by the board to run it day to day. Both appear on the register, and you can update officers through our officer update service.
What do I need to change my corporation's address?
You need a board resolution approving the new head office address and an updating declaration filed with the registry. Our address change service prepares both.
Can my head office be outside Quebec?
No, a corporation created under Quebec law must keep its head office in Quebec. Moving the corporation itself to another jurisdiction requires a continuance, not an address change.
What documents are needed for a notice of change?
You'll need your NEQ, the details of the change, its effective date, and the resolution or resignation that supports it. For new directors or officers, their full names and addresses are required.
What are the risks of not updating my corporate record?
You may face penalties, miss legal notices sent to an old address, or have banking and contracts delayed. Former directors can also remain on the public record, and exposed, until the change is filed.
Does a federal corporation in Quebec file changes twice?
Yes, it reports the change to Corporations Canada and also updates its registration in the Quebec enterprise register. Keeping both records consistent protects its good standing.
Is changing my corporate name a notice of change?
No, a name change requires articles of amendment approved by the shareholders, and the new name must meet Quebec's French-language rules. Once issued, the new name is reflected in the register.
