In short: Business Quebec is a filing service, not a law firm, and does not give legal advice. We prepare and file documents based on the information you provide. Once we start processing an order, service fees and government filing fees are non-refundable, and orders received after 3:00 PM local time are handled the next business day.

01

Introduction & Acceptance

Welcome to Business Quebec (the “Company,” “we,” “our,” or “us”). These Terms of Service (the “Terms”) set out the rules for using our website at www.businessquebec.ca and the services offered through it (together or separately, the “Service”), which is operated by Business Quebec.

Your use of the Service is also covered by our Privacy Policy, which describes how we collect, protect, and share information gathered when you use our web pages. These Terms and the Privacy Policy together form your agreement with us (the “Agreements”). By using the Service, you confirm that you have read and understood the Agreements and accept being bound by them.

If you do not agree with the Agreements, or cannot comply with them, you may not use the Service. Please write to us at info@businessquebec.ca so we can try to find a solution. These Terms apply to every visitor, user, and other person who accesses or uses the Service.

02

Legal Advice & Your Responsibility

You use this website at your own risk. Business Quebec is not a law firm and does not give legal advice. Using our materials or any of our services does not create a solicitor-client relationship between you and us. You agree to consult a lawyer or law firm whenever your business purposes and goals require legal advice. Our role is limited to preparing government forms and providing corporate and business compliance services, based on the direction you give us.

You also agree that every decision you make on a legal matter is entirely your own responsibility. We do not warrant or guarantee that the services offered on or through the site will be uninterrupted or free of errors. The information on the site is general in nature and is not meant to be complete or exhaustive.

In addition, we do not represent or warrant that our materials, the site, or any linked site are free of harmful content, viruses, or other damaging elements.

03

Communications

By using the Service, you agree to receive newsletters, marketing or promotional materials, and other information we may send. You can opt out of any or all of these messages at any time by using the unsubscribe link in the message or by emailing info@businessquebec.ca.

04

Purchases & Orders

When you buy a product or service offered through the Service (a “Purchase”), you may be asked for information related to that Purchase. This can include your credit or debit card number, the card's expiry date, your billing address, and your shipping details.

• You represent and warrant that you have the legal right to use the card or other payment method for the Purchase.
• You represent and warrant that the information you give us is true, accurate, and complete.
• We may use third-party services to process payments and complete Purchases. By submitting your information, you allow us to share it with those third parties, subject to our Privacy Policy.

We may refuse or cancel an order at any time, for reasons that include the availability of a product or service, an error in its description or price, or an error in your order. We may also refuse or cancel an order when we suspect fraud or an unauthorized or illegal transaction.

05

Contests & Promotions

Contests, sweepstakes, and other promotions offered through the Service (“Promotions”) may have their own rules, separate from these Terms. If you take part in a Promotion, please read its rules along with our Privacy Policy. Where the rules of a Promotion conflict with these Terms, the Promotion rules apply.

06

Subscriptions & Fee Changes

Some parts of the Service are billed by subscription (“Subscriptions”). You are billed in advance on a recurring basis (the “Billing Cycle”), and the length of the Billing Cycle depends on the plan you choose when you buy a Subscription.

At the end of each Billing Cycle, your Subscription renews automatically on the same conditions unless you or Business Quebec cancel it. You can cancel the renewal from your online account page or by contacting our customer support team at info@businessquebec.ca.

A valid payment method is needed to process Subscription payments. You must give Business Quebec accurate and complete billing information, which may include your full name, address, province or state, postal or zip code, telephone number, and valid payment details. By providing this information, you authorize Business Quebec to charge all Subscription fees for your account to that payment method. If automatic billing fails for any reason, Business Quebec may end your access to the Service immediately.

Fee changes. Business Quebec may change Subscription fees at any time and at its sole discretion. A fee change takes effect at the end of the Billing Cycle in progress. We will give you reasonable advance notice of any change so that you can end your Subscription before it applies. If you keep using the Service after the new fee takes effect, you agree to pay the revised amount.

07

Refunds & Returns

Customer satisfaction matters a great deal to us, and we stand behind the products and services we provide.

If you placed an order by mistake and want to cancel it or correct an error, call us within 30 minutes of placing the order, and send us an email if you cannot reach us by phone. For orders placed in a 1-hour or 2-hour service queue, call us within 10 minutes. If you do not contact us within these delays, a proportionate deduction will be made, including full agency fees.

The following conditions also apply:
• Financial processing fees are deducted from the refunded amount, where applicable.
• If you request a chargeback from your financial service provider at any point, whether or not you contacted us first, we have the right to refuse your order. From then on, please deal with your financial institution and not with us.
• We provide services, not physical products. Once an order is received, our team and specialists begin working on it, so we cannot refund an order that is already in process. Service fees and applicable government filing fees are then non-refundable.
• If Business Quebec makes a filing error, we will correct it as soon as possible at no extra cost. A refund is considered only if Business Quebec fails to provide or complete the service after all required information was supplied on time.

• Prices are based on the service or materials you selected, and no partial refund can be requested once the business is registered.
• If a government agency rejects a business name, the client must supply another name and wait for the government's processing time, or choose a numbered company instead. Business Quebec does not issue a refund in this case.
• For CRA accounts and WCB, WSIB, or CNESST registrations, the customer alone is responsible for giving us correct information, as required by the government agency, in a timely manner. Late or incorrect information may delay the service or leave it incomplete, and no refund is issued in such cases.
• Refunds are issued in the same form as the original payment. For example, a payment made by debit or credit card is refunded to the same card.

08

Cut-off Time

Business Quebec serves clients across Canada, and our services follow the business hours of each provincial government. For that reason, the cut-off time for any order is 3:00 PM in your local time. An order received after 3:00 PM is treated as an order for the next business day. One day may be counted as a 24-hour cycle or as the same day, at Business Quebec's discretion.

09

You also agree not to:

By accessing or using it, you warrant and represent that you are at least 18 and have the full authority, right, and capacity to enter into this agreement and follow all of its terms. If you are under 18, you may not access or use the Service.

When you create an account with us, you guarantee that you are over 18 and that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or outdated information may lead to the immediate termination of your account.

You are responsible for keeping your account and password confidential, including by restricting access to your computer and account. You accept responsibility for all activity that takes place under your account or password, whether the password is for our Service or for a third-party service. You must tell us immediately if you become aware of a security breach or unauthorized use of your account.

You may not use as a username the name of another person or entity, a name that is not lawfully available, or a name or trademark that belongs to someone else without proper authorization. Offensive, vulgar, or obscene usernames are not allowed. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.

11

Intellectual Property

We respect the intellectual property rights of others. Our policy is to respond to any claim that content posted on the Service infringes the copyright or other intellectual property rights of a person or entity (an “Infringement”).

If you own a copyright, or are authorized to act for an owner, and believe a work has been copied in a way that amounts to copyright infringement, email your claim to info@businessquebec.ca with the subject line “Copyright Infringement.” Include a detailed description of the alleged Infringement, as set out below. You may be held liable for damages, including costs and legal fees, if you misrepresent a claim or make one in bad faith.

DMCA notice and procedure for copyright claims. This part applies to our customers in the United States. You may send a notification under the Digital Millennium Copyright Act (DMCA) by giving our Copyright Agent the following information in writing (see 17 U.S.C. 512(c)(3) for details):

1. an electronic or physical signature of the person authorized to act for the owner of the copyright interest;
2. a description of the copyrighted work you say has been infringed, including the URL where the work exists or a copy of the work;
3. the URL or other specific location on the Service where the material you consider infringing is found;
4. your address, telephone number, and email address;
5. a statement that you believe in good faith that the disputed use is not authorized by the copyright owner, its agent, or the law;
6. a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.

You can reach our Copyright Agent by email at info@businessquebec.ca.

12

Feedback & Error Reporting

You may send us information and feedback about errors, suggested improvements, ideas, problems, complaints, and other matters related to the Service (“Feedback”), either directly at info@businessquebec.ca or through third-party sites and tools. You acknowledge and agree that: (i) you will not keep, acquire, or assert any intellectual property right or other right, title, or interest in the Feedback; (ii) the Company may already have development ideas similar to the Feedback; (iii) the Feedback contains no confidential or proprietary information belonging to you or a third party; and (iv) the Company has no duty of confidentiality regarding the Feedback. Where mandatory law prevents ownership of the Feedback from being transferred, you grant the Company and its affiliates an exclusive, transferable, irrevocable, free, sub-licensable, unlimited, and perpetual right to use the Feedback in any manner and for any purpose, including to copy, modify, create derivative works from, publish, distribute, and commercialize it.

13

Third-Party Links & Analytics

The Service may contain links to third-party websites or services that Business Quebec does not own or control. We have no control over, and take no responsibility for, the content, privacy policies, or practices of those websites or services, and we do not warrant what they offer.

You acknowledge and agree that the Company is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by, or in connection with, the use of or reliance on any content, goods, or services available on or through a third-party website or service. We strongly advise you to read the terms of service and privacy policies of any third-party website or service you visit.

Analytics. We may use third-party service providers to monitor and analyze how the Service is used.

14

Disclaimer of Warranty

The services are provided by the Company on an “as is” and “as available” basis. The Company makes no representations or warranties of any kind, express or implied, about the operation of its services or the information, content, or materials they include. You expressly agree that you use the services, their content, and anything obtained from us at your sole risk.

Neither the Company nor anyone associated with it makes any warranty or representation about the completeness, security, reliability, quality, accuracy, or availability of the services. Without limiting this, no one represents or warrants that the services, their content, or anything obtained through them will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the services or the server that makes them available are free of viruses or other harmful components, or that the services will otherwise meet your needs or expectations.

The Company disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including any warranties of merchantability, non-infringement, and fitness for a particular purpose. This does not affect any warranty that cannot be excluded or limited under applicable law.

15

Limitation of Liability

Except where prohibited by law, you will hold us and our officers, directors, employees, and agents harmless from any indirect, punitive, special, incidental, or consequential damage, however it arises (including legal fees and all related costs of litigation and arbitration, at trial or on appeal, whether or not proceedings are started), whether in an action of contract, negligence, or other tort, or arising out of or in connection with this agreement. This includes any claim for personal injury or property damage arising from this agreement, and any violation by you of federal, provincial, state, or local laws, statutes, rules, or regulations, even if the Company was advised of the possibility of such damage.

Except where prohibited by law, any liability found on the part of the Company is limited to the amount paid for the products or services, and in no case will there be consequential or punitive damages. Some jurisdictions do not allow the exclusion or limitation of punitive, incidental, or consequential damages, so this limitation or exclusion may not apply to you.

16

Termination & Service Changes

We may suspend or terminate your account and block access to the Service immediately, without notice or liability, at our sole discretion and for any reason, including a breach of these Terms. If you want to end your account, you may simply stop using the Service. Every provision of these Terms that by its nature should survive termination will survive it, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to the Service. We may withdraw or change the Service, and any service or material we provide through it, at our sole discretion and without notice. We are not liable if all or part of the Service is unavailable at any time or for any period. From time to time we may restrict access to parts of the Service, or to all of it, including for registered users.

17

Governing Law & Severability

These Terms are governed by and interpreted under the laws of Canada and the United States, which apply to this agreement without regard to conflict of law rules.

If we do not enforce a right or provision of these Terms, that is not a waiver of the right or provision. If a court finds any provision invalid or unenforceable, the remaining provisions stay in effect. These Terms are the entire agreement between us about the Service and replace any earlier agreement we may have had about it.

Waiver and severability. A waiver by the Company of any term or condition in these Terms is not a further or continuing waiver of that term or a waiver of any other term, and a failure by the Company to assert a right or provision is not a waiver of it. If a court or other tribunal of competent jurisdiction holds any provision invalid, illegal, or unenforceable for any reason, that provision will be removed or limited to the minimum extent needed so that the rest of these Terms remain in full force and effect.

18

Changes to These Terms

We may amend these Terms at any time by posting the amended version on this site, and it is your responsibility to review them from time to time. Please check this page often, because changes are binding on you. If you continue to access or use the Service after revised Terms are posted and take effect, you accept and agree to the changes. If you do not agree to the new terms, you are no longer authorized to use the Service.

Acknowledgement. By using the Service or other services we provide, you acknowledge that you have read these Terms of Service and agree to be bound by them.
