Once your company is incorporated, it has ongoing obligations to keep its records current with the corporate registry and the CRA. Here's a plain-language look at the filings most corporations deal with, when they're needed, and what happens if they're missed.
Corporate filings are the documents a corporation submits to its registry (Corporations Canada federally, or the Registraire des entreprises in Quebec) and to the CRA to record its existence, changes, and ongoing status. They range from your first initial return to annual returns, amendments, and eventually dissolution.
Every active corporation must file an annual return with its registry to stay in good standing, and a T2 corporate tax return with the CRA. If your directors, officers, or registered office change during the year, a notice of change is also required. Missing these can lead to penalties or administrative dissolution.

What is a corporate initial return?
It's the first filing after incorporation that puts your directors, officers, and registered office on the public record. In Quebec it's the initial declaration filed with the REQ, usually due within 60 days of registration.
When is my annual return due?
Federal corporations file within 60 days of their anniversary date with Corporations Canada. Quebec corporations file an annual updating declaration with the REQ, usually alongside the tax return. We track the exact date for you.
What's the difference between an annual return and a tax return?
An annual return is a corporate-registry filing that confirms your company's details. A T2 tax return is filed with the CRA to report income. They're separate obligations — and both are required each year.
What is a jurisdiction change or continuance?
Continuance moves your corporation from one jurisdiction to another — for example federal to Quebec or vice versa — while keeping the same corporation. It requires articles of continuance and consent from your current jurisdiction.
How do I change my corporation's name or shares?
You file articles of amendment. We prepare the required directors' and shareholders' resolutions, draft the articles, and file them with the registry so the change becomes official.
Can I bring back a dissolved corporation?
Yes. Articles of revival can restore a dissolved or struck-off corporation to active status. Outstanding returns usually have to be filed, and the name confirmed as still available.
